Terms of Service
Plain-English Summary
You pay us, we transfer a pre-built Shopify dev store to your Shopify account within 48 hours. Once the store lands in your account, the sale is final — we cannot un-transfer a dev store. Chargebacks after a completed transfer are treated as a breach of this agreement.
1. Definitions
1.1. “Service” means the turnkey Shopify dev store transfer service operated by Shopiflame LLC. 1.2. “Customer” or “you” means the individual or business purchasing a Digital Deliverable. 1.3. “Digital Deliverable” means a pre-built Shopify development store, including its theme, product listings, copy, and configuration, sold as a one-time transfer. 1.4. “Dev Store” means a Shopify store created under Shopiflame’s Shopify Partner account prior to Transfer. 1.5. “Transfer” means the Shopify Partner action that moves ownership of the Dev Store from Shopiflame’s Partner account to the Customer’s Shopify account. 1.6. “Shopiflame”, “we”, “us” means Shopiflame LLC, a Delaware limited liability company.
2. Description of Service
2.1. Shopiflame sells pre-built Shopify dev stores across niche categories. Each store is assembled on Shopiflame’s Shopify Partner account, then Transferred to the Customer after payment. 2.2. The Service is a digital goods transaction. No physical goods are shipped. No ongoing subscription is created by the purchase. 2.3. Post-Transfer hosting, Shopify subscription fees, domain purchases, payment processing, and fulfillment are the Customer’s responsibility and are not part of the Service.
3. Payment
3.1. All payments are processed through PayPal Business. Prices are in US Dollars and include any applicable fees collected by PayPal. 3.2. Payment is due in full at checkout. No installment plans, net terms, or partial payments are accepted. 3.3. All sales are final once the Dev Store has been Transferred to the Customer’s Shopify account. See Section 10 (Refunds) and the Refund Policy for pre-Transfer refund windows.
4. Delivery
4.1. Shopiflame will initiate Transfer within 48 hours of (a) confirmed cleared payment and (b) the Customer providing a valid Shopify account email and niche selection. 4.2. The 48-hour window excludes delays caused by the Customer (missing account email, invalid email, unresponsive to verification messages). 4.3. A Transfer is considered complete when Shopify sends the ownership transfer confirmation to the Customer’s Shopify account.
5. Acceptable Use
5.1. Customer may not use the Service to facilitate illegal activity, sell prohibited goods under Shopify’s Acceptable Use Policy, or engage in fraud. 5.2. Customer may not resell or redistribute the Digital Deliverable as their own template, theme, or store-building service. 5.3. Customer is responsible for compliance with applicable law in the jurisdictions where they operate the transferred store.
6. Intellectual Property
6.1. On Transfer, Customer receives ownership of the specific store instance — its theme customizations, product listings, and written copy as delivered. 6.2. Shopiflame retains all rights to: (a) underlying skill, methodology, and know-how; (b) reusable template structures, design systems, and component libraries; (c) product research data and niche research that informs other stores. 6.3. Nothing in Section 6.1 grants Customer a license to Shopiflame’s brand, logos, or the Shopiflame website content.
7. Warranties Disclaimed
7.1. THE SERVICE AND DIGITAL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. 7.2. Shopiflame disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the store will generate revenue, traffic, or customers. 7.3. Customer acknowledges that e-commerce outcomes depend on factors outside Shopiflame’s control (marketing, supplier performance, payment processor approvals, Shopify platform changes).
8. Limitation of Liability
8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPIFLAME’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT THE CUSTOMER ACTUALLY PAID SHOPIFLAME FOR THE APPLICABLE DIGITAL DELIVERABLE. 8.2. SHOPIFLAME IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA. 8.3. Sections 7 and 8 survive termination and apply regardless of the legal theory (contract, tort, statute, or otherwise).
9. Chargeback Clause
9.1. Customer agrees that Digital Deliverables Transferred to Customer’s Shopify account are non-refundable. 9.2. Chargeback attempts after successful Partner-to-account Transfer constitute a breach of this agreement. Shopiflame will contest such chargebacks by submitting evidence of the completed Transfer, including Shopify Partner transfer logs, timestamps, and the Customer’s confirming account email. 9.3. Customer agrees to pursue the dispute resolution process in Section 11 before initiating a chargeback. A chargeback filed without first contacting hello@shopiflame.com and allowing 10 business days for resolution is a breach of Section 9.3.
10. Refunds
10.1. Refund eligibility is governed by the Refund Policy at /refund, which is incorporated by reference. 10.2. In short: pre-Transfer refunds are available under specific conditions; post-Transfer refunds are not available because a Transfer cannot be reversed.
11. Governing Law and Dispute Resolution
11.1. This agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. 11.2. Any dispute arising from or related to this agreement or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in English. 11.3. Before initiating arbitration, Customer agrees to contact hello@shopiflame.com and attempt good-faith resolution for at least 30 days. 11.4. Either party may seek injunctive relief in Delaware state courts to protect intellectual property rights, notwithstanding Section 11.2. 11.5. Customer waives any right to participate in a class action against Shopiflame.
12. Changes to These Terms
12.1. Shopiflame may update these Terms. The updated version applies to purchases made on or after the updated “Effective Date” shown above. 12.2. Purchases completed before an update remain governed by the version in effect at the time of purchase.
